Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Tare commission tracking service ("Service") provided by Tare ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service description

Tare connects to your HubSpot CRM account via OAuth, ingests closed deal data, calculates flat-rate commissions for your sales team, presents commission statements, and exports CSV files for payroll processing. The Service is provided on a subscription basis.

3. Eligibility

The Service is intended for business use. By using the Service, you represent that you are at least 18 years old and have the authority to bind your organisation to these Terms. Each organisation ("Tenant") is a separate account with its own users and data.

4. Account responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • The account administrator is responsible for managing user access, roles, and permissions within their organisation.
  • You must notify us promptly at support@usetare.com if you become aware of any unauthorised use of your account.
  • You must provide accurate and complete information when creating an account and keep it up to date.

5. Acceptable use

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit malicious code or harmful content.
  • Resell, sublicense, or redistribute the Service without our prior written consent.

6. Pricing and payment

  • The Service is offered at £79 per month per organisation, supporting up to 10 sales representatives.
  • New accounts include a 14-day free trial. No payment is required during the trial period.
  • After the trial period, continued use of the Service requires an active paid subscription. Payment is due monthly in advance.
  • All prices are exclusive of VAT, which will be added where applicable.
  • We reserve the right to change pricing with at least 30 days' written notice to account administrators. Price changes do not apply during a current billing period.

7. HubSpot integration

  • The Service requires a connection to your HubSpot account via OAuth. You authorise Tare to read deal, owner, and related CRM data from your HubSpot account.
  • Tare does not write data back to your HubSpot account.
  • You are responsible for ensuring you have the necessary permissions within your HubSpot account to authorise the integration.
  • The Service depends on the availability and functionality of the HubSpot API. We are not responsible for any disruption caused by changes to HubSpot's platform or API.

8. Data ownership

  • Your data remains yours. You retain all rights to the data you provide and the CRM data synced from HubSpot.
  • We process your data solely to provide the Service as described in our Privacy Policy.
  • Commission records generated by the Service are derived from your HubSpot data and your configured commission plans. These records belong to your organisation.
  • Upon termination, you may request an export of your data. We will provide your data in a standard format within 30 days of request.

9. Service availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance with reasonable advance notice to account administrators. We are not liable for any loss or damage resulting from service downtime or unavailability.

10. Limitation of liability

  • To the maximum extent permitted by law, Tare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • The Service calculates commissions based on the data and rules you provide. You are responsible for verifying commission statements before processing payroll. Tare is not liable for payment errors resulting from incorrect data or misconfigured commission plans.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

  • You may cancel your subscription at any time by contacting us at support@usetare.com. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your access to the Service if you breach these Terms, with reasonable notice where possible.
  • Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination to allow for data export, after which it will be deleted in accordance with our Privacy Policy.
  • If you uninstall the Tare app from your HubSpot account, we will deactivate the connection and schedule data deletion within 30 days.

12. Intellectual property

The Service, including its design, code, features, and documentation, is owned by Tare and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements. You may not copy, modify, or create derivative works based on the Service.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to account administrators at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates when the Terms were last revised.

14. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
